Notes on 2025 MCA Annual Meeting

We’re going to start with the end of the meeting and congratulate the new MCA Directors and the Board Executives that were elected by the Board. It genuinely feels like the interests of MCA Homeowners will be represented by the leadership and majority of the MCA Board. Whew!

With new Board leadership in place we’re not going to spend time going through all the misleading statements that the EX-President and EX-Treasurer made as parting shots. They kept promoting the option of selling the assets, but it is now in the hands of the Strategic Planning Committee to come up with recommendations and the new MCA Board leadership to make a decision.

We have the impression that the Strategic Planning Committee is working as quickly as it can in the circumstances, but won’t be rushed by any artificial deadlines from an EX-Treasurer. One of the Committee members indicated that their goal is to report by the next Town Hall meeting in April.

The new Board is going to have their work cut out for them in many fronts:

  • Understanding the status of discussions with and offers from potential buyers (the EX-President and EX-Treasurer did not fully engage the Board in the process).
  • Once the Strategic Planning Committee comes to its recommendations, and the MCA Board makes its decisions, figuring out the plan forward.
  • It is quite possible that TMCC is going to run out of cash before that “plan forward” can be fully created and implemented, so some sort of “bridge plan” will likely be necessary.

This is all very exciting stuff. We are confident the new Board will do this with all the transparency they can muster.

    So glad we have people on the board that want to be transparent and work towards a solution that benefits all parties.

    There are so many possibilities just for the use of the main building. We are familiar with CCs whose dining facilities are open to the public and yet they have a private area for the club members.

    I heard it reported that the TMCC short term loan was repaid in full and earlier than scheduled. Since this was only necessary due to the storms (as we were repeatedly told in earlier meetings), I presume TMCC won’t need any more MCA cash to operate this year — especially with the money they are saving with the clubhouse food operation closed.

      You are correct that they said the loan had been fully repaid. Would love to hear the reason “why” but we’re glad that it was.
      We strongly expect that TMCC will run out of cash by mid-year at the latest (they were running out by August last year BEFORE the hurricanes). We described why in this post: https://sarasotameadows.com/2025/02/11/how-is-tmccs-2025-shaping-up/

      And with the EX-President and EX-Treasurer out of power TMCC has lost a lot of their protection from transparency. This may lead to high member departures (annual members can cancel on 60 days notice).
      Hopefully the new Board leadership will get TMCC’s cash forecast soon, understand what we are dealing with and figure out a plan.

        i do not see much hope for the club going forward. As I said before the club must be sold, the tennis membership is tanking, mca is supporting 150 ? golfers. Word is out the cc is spinnning out of control. find a buyer set up a smart contract to protect the residents it needs 15 to 20 million to right the club, build a new club house and the new owners will be able to advertise and renew the worn out facility. Get it off the backs of the home owners.

    Why are our protectors, the MCA Board, go into this alone. Are there no professional sport management advisory companies with available time help us. Sure it will cost us money but could save us Millions in the long run. I thought that there have been many residents suggesting that this is a great way to go. If you have a valuable asset you protect it not trust the Investment Vultures, to take care of you, that are that are flying overhead.

      This could be a recommendation of the Strategic Planning Committee (or they may already be seeking professional help). But we hope so too as some really big decisions have to be made.
      It is truly a loss that they didn’t take this recommendation when we made it over a year ago, as well as through the legal demand letter. So much valuable time was wasted by MCA Board leadership (EX-President and EX-Treasurer) that refused to acknowledge the problem.
      We’ve turned a new leaf, but there will be a real cost to the lost time.

    Hi, Just received notice from our President (MCA) that they are “temporarily” closing the Country Club. That implies to me that they are going to open it up again at our expense. I strongly disagree. The Country Club needs to stay down and dead. I also am wondering why they are considering having a restaurant. That did not make a profit. The MCA does not need to be in the restaurant business. Certainly do not want to go into further debt than the MCA Board has already put us in. What are they thinking.       To the best of our knowledge, the plan is to have the facilities open until a long-term lease can be established. There isn’t any deeper plan than that.

    What has become patently clear is that the current MCA board is as dysfunctional as the previous board. There is still no transparency. Legal advice seems to be suboptimal. There is a concerted effort afoot to buy the country club company, a non-profit in violation of its 501(c)(7) IRA status and assume unknown and unquantifiable liabilities. The MCA is a non-profit 501(c)(4) and cannot own another non-profit, especially when it’s been in violation of its IRS classification for years and likely filed false FORM 990 returns with the IRS. The MCA treasurer is panicked because he doesn’t want to spend any money. It’s nothing short of a continued mess, but now worse under present leadership.
